Structure
“Pan-Straits” is the name and brand under which the members of Pan-Straits E&P, LLC (Pan-Straits Legal, LLP, Pan-Straits Resources, LLC and Pan-Straits Services, LLC), and certain entities under common ownership with such members, operate as separate legal entities (collectively, “Pan-Straits entities”). The use of the name “Pan-Straits,” and references to the autonomous but affiliated Pan-Straits entities collectively as “Pan-Straits E&P Group” or “the group,” are for description purposes only and do not imply that the entities are in partnership together, that Pan-Straits Legal, LLP has more than one lawyer (see the additional information below regarding Pan-Straits Legal, LLP's sole lawyer), nor that one Pan-Straits entity accepts responsibility for the acts or omissions of another.
Pan-Straits E&P, LLC and each Pan-Straits entity are limited liability entities formed under the laws of Texas. The personal liability of the members and partners of these entities is limited as provided by such laws. Any reference on this website or generally to an individual by title (for example, “director,” “partner,” “general counsel” or “lawyer”) is a reference to such individual’s title in the particular Pan-Straits entity in which he/she practices or operates. With respect to references to “a partner” or “partners” of a Pan-Straits entity, the term “partner” denotes either a partner or member of such Pan-Straits entity, or a consultant or other personnel of the entity with equivalent standing or qualifications, and should not be construed as indicating that the partners or members of the entity are carrying on business in a general partnership for the purposes of the law in any jurisdiction in which the entity practices or operates.
Pan-Straits E&P, LLC does not provide services of any type to clients or any other contracting parties. Rather, its purpose is to act as a coordinating entity for its members.
Pan-Straits Legal, LLP is a law firm whose sole lawyer (Brad D'Amico) practices law in particular jurisdictions. Besides Pan-Straits Legal, LLP, no other Pan-Straits entity operates as a law firm or has as its business the practice of law by any of its personnel (whether or not any of its personnel are lawyers), nor does engaging any of these other Pan-Straits entities encompass the rendering of legal services by any the group (including Pan-Straits, Legal, LLP) or otherwise give rise to a lawyer-client relationship. Conversely, an engagement of Pan-Straits Legal, LLP for legal services does not result in a lawyer-client relationship with any other Pan-Straits entity or its personnel (whether or not any of its personnel are lawyers). Accordingly, communications under an engagement between a client and a Pan-Straits entity other than Pan-Straits Legal, LLP are not protected by the lawyer-client relationship, including the lawyer-client privilege or the lawyer work product doctrine, and the professional rules governing the conduct of lawyers, and that relate to the lawyer-client relationship, are not applicable to any personnel of such Pan-Straits entity (whether or not such personnel are lawyers) as they operate or conduct business for the entity under the engagement.
To retain Pan-Straits Legal, LLP, it is not necessary to use the services of any other Pan-Straits entity, or vice versa. Parties that wish to retain a Pan-Straits entity must enter into a written retainer agreement that is signed by an authorized partner or manager of the entity. Except as may be provided by a retainer agreement that is signed by all of the authorized partners or managers of the relevant Pan-Straits entities, clients of one Pan-Straits entity are not clients of any other Pan-Straits entity. The separate but affiliated Pan-Straits entities recognize that their respective clients have a choice in all of their service providers (legal and non-legal) and, where more than one Pan-Straits entity agrees to provide services to clients, wish to ensure that all clients understand that the group is under common ownership.
